- Invoices are due within 30 days of issuance unless otherwise agreed
- Late payments may incur a service charge of 1.5% per month
- Work may be suspended for overdue accounts
- All payments are non-refundable except as specified in project agreements
5. Intellectual Property Rights
Client-Owned Materials
You retain ownership of all materials, content, and intellectual property that you provide to us, including but not limited to logos, brand materials, content, and proprietary information.
Work Product
Upon full payment, you will own the final deliverables created specifically for your project. However, we retain ownership of our methodologies, processes, tools, and any pre-existing intellectual property.
Third-Party Materials
Any third-party materials (fonts, stock photos, software, etc.) used in your project remain subject to their respective licenses and terms.
6. Project Changes and Scope
Changes to project scope, timeline, or deliverables may result in additional charges and extended timelines. All changes must be agreed upon in writing before implementation.
We will provide estimates for additional work and obtain your approval before proceeding with scope changes.
7. Warranties and Disclaimers
We warrant that our services will be performed with professional skill and care consistent with industry standards. However, we make no guarantees regarding specific business outcomes, search engine rankings, or revenue increases.
Disclaimer: Our services are provided "as is" without any warranties, express or implied, beyond those explicitly stated in our agreements.
8. Limitation of Liability
Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific services that gave rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
9. Confidentiality
We agree to maintain the confidentiality of any proprietary or sensitive information you share with us during the course of our engagement.
This obligation shall survive the termination of our agreement and continue indefinitely unless the information becomes publicly available through no fault of our own.
10. Termination
Either party may terminate the agreement with 30 days written notice. In case of material breach, termination may be immediate upon notice.
Upon termination, you will pay for all work completed up to the termination date, and we will deliver all completed work products.
11. Dispute Resolution
Any disputes arising from these terms or our services shall first be addressed through good-faith negotiations between the parties.
If negotiations fail, disputes shall be resolved through binding arbitration in accordance with applicable laws and regulations.
12. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.
13. Governing Law
These terms shall be governed by and construed in accordance with applicable international business laws and regulations for remote services.
14. Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated to active clients with at least 30 days notice.
Continued use of our services after changes constitutes acceptance of the modified terms.
